If Client has opted for monthly payments, the monthly service fee for the first month of Services is due and payable on (or immediately after) the Effective Date or, if the subscription includes a free trial period and Client has not cancelled the subscription during such trial period, on the first calendar day after expiration of such trial period. Thereafter, the monthly service fee will be charged each successive month during the Term of the Agreement.
Client agrees to provide and maintain with the Company throughout the Term of the Agreement, a valid credit card or bank account Automated Clearing House (ACH) information for automatic billing of the monthly service fee. The credit card will be charged or the ACH payment will be initiated on the date each monthly service fee is due as described herein.
Client shall be responsible for the payment of any applicable sales, use taxes, value added or similar taxes payable with respect to the Services, or arising out of or in connection with the Services Agreement.
If Client’s subscription includes a free trial period, Client may terminate the Agreement at any time prior to expiration of the free trial period by providing written notice of termination in accordance with the applicable provisions of the Services Agreement.
The initial term of the Agreement shall commence on the Effective Date and shall continue for a period of twelve (12) months following the later of the Effective Date or the expiration of the free trial period, if any (the “Initial Term”). Upon expiration of the Initial Term, the Agreement will automatically renew annually for successive one-year terms (each, a “Renewal Term”).
The Initial Term and each Renewal Term shall consist of four (4) service periods. The first service period of the Initial Term shall be three (3) months in duration plus the duration of the free trial period, if any; each successive service period shall be three (3) months in duration. The first service period shall commence on the Effective Date, the second service period shall commence on the date that is three (3) months after expiration of the first service period, the third service period shall commence on the date that is three (3) months after expiration of the second service period; and so forth. Either Party may terminate the Agreement without cause by providing written notice to the other Party at least thirty (30) days prior to the conclusion of a service period. If timely written notice of termination without cause is provided, the Agreement will terminate at the conclusion of the service period in which notice of termination was given. If written notice of termination without cause is given less than thirty (30) days prior to conclusion of a service period, the Services Agreement will terminate at the conclusion of the following service period.
The Agreement may be terminated for cause as provided in the Services Agreement.
These Service Subscription Terms are made subject to, and incorporate by this reference, the ClientGen, LLC Services Agreement, available at: https://clientgen.ai/services-agreement/ (“Services Agreement”). The Services Agreement together with these Service Subscription Terms form the full legal agreement (“Agreement”) between Client and the Company regarding the Services.
All undefined capitalized terms used in these Service Subscription Terms have the meaning set forth in the Services Agreement. To the extent of any conflict between these Service Subscription Terms and the Services Agreement, the specific terms of these Service Subscription Terms will govern but only with respect to the terms set forth herein. The Services may only be used pursuant to and in accordance with the Agreement.
