The Company will make available to Client and/or Client’s authorized users, via the Company Portal, those Services for which Client has subscribed herein or via a webform or digital form on the Company’s website. Such Services may include profile information on individuals who may an interest in obtaining information about the types of products and/or services offered by Client (“Leads”), performance metrics related to Client’s use of the Services (“Performance Metrics”), and/or assistance with marketing and promotion of Client’s business to Leads. The profile information related to Leads may include, among others, one or more of the following data points: age, occupation, marital status, estimated annual income, estimated net worth, and home ownership status (referred to herein as “Lead Profile Information”).
The monthly service fee for the first month of service is due and payable on (or immediately after) the Effective Date. For each month thereafter, the monthly service fee is due and payable on the first day of each month. The amount of the monthly service fee for the second month of service will be prorated as appropriate.
Client will provide and agrees to maintain with the Company throughout the Term of the Services Agreement, a valid credit card or bank account Automated Clearing House (ACH) information for automatic billing of the monthly service fee. The credit card will be charged or the ACH payment will be initiate on (or immediately after) the Effective Date and thereafter on the first day of each month until termination of the Services Agreement.
Client shall be responsible for the payment of any applicable sales, use taxes, value added or similar taxes payable with respect to the Services, or arising out of or in connection with the Services Agreement.
Upon expiration of the Initial Term, the Services Agreement will automatically renew annually for successive one-year terms (each, a “Renewal Term”) unless written notice of termination is provided in accordance with the applicable provisions of the Services Agreement.
The Initial Term and each Renewal Term shall consist of four (4) quarters, with each quarter being three (3) months in duration. The first quarter shall commence on the Effective Date, the second quarter shall commence on the date that is three (3) months after the Effective Date, the third quarter shall commence on the date that is six (6) months after the Effective Date; and so forth. Either Party may terminate the Services Agreement without cause by providing written notice to the other Party at least thirty (30) days prior to the conclusion of a quarter. If timely written notice of termination without cause is provided, the Services Agreement will terminate at the conclusion of the quarter in which notice of termination was given. If written notice of termination without cause is given less than thirty (30) days prior to conclusion of a quarter, the Services Agreement will terminate at the conclusion of the following quarter.
These Service Subscription Terms are made subject to, and incorporate by this reference, the ClientGen, LLC Services Agreement, available at: https://clientgen.ai/services-agreement/ (”Services Agreement”). All undefined capitalized terms used in these Service Subscription Terms have the meaning set forth in the Services Agreement. To the extent of any conflict between these Service Subscription Terms and the Services Agreement, the specific terms of these Service Subscription Terms will govern but only with respect to the terms set forth herein. The Services may only be used during the Term of the Services Agreement and in accordance with these Service Subscription Terms and the Services Agreement, which together form the entire legal agreement between Client and Company.
